Job Summary:

We are seeking a skilled Real Estate and Title Paralegal to play a pivotal role in supporting the development and operation of distributed solar and energy storage projects. In this role, you will collaborate with our development team, counsel, and external parties on corporate, real estate, and transactional matters, including contract management, corporate governance, and finance. The ideal candidate will have a strong background in renewable energy or commercial real estate transactions, and possess excellent organizational and communication skills.

Key Responsibilities:

  • Legal Document Management:

    • Draft, review, and revise various legal documents, including contracts, agreements, and corporate policies under the supervision of the development team.

    • Assist in the formation and management of entities, maintaining our entity management system.

    • Coordinate due diligence efforts for M&A, financings, and other transactions with the executive team.

  • Real Estate Transaction Support:

    • Conduct due diligence for real estate transactions, including title searches, surveys, zoning, land-use, and environmental investigations.

    • Review and analyze title reports, title commitments and policies, surveys, environmental reports, and collaborate with title companies to resolve title issues.

    • Assist in drafting and preparing real estate documents, such as purchase contracts, leases, easements, estoppels, and other agreements, and ensure proper recording in real property records.

  • Contract Management:

    • Review, draft, and manage non-disclosure agreements (NDAs) and other agreements.

    • Support contract management, including maintaining and overseeing the contract lifecycle management (CLM) platform(s).

  • Transaction Coordination:

    • Liaise with internal teams, external counsel, and third-party stakeholders to facilitate real estate and other transactional matters.

    • Serve as the gatekeeper to the internal legal function, coordinating agreement reviews by the General Counsel and Associate General Counsel.

    • Assist in the preparation of periodic reports for internal and external stakeholders.

  • Regulatory & Permitting Support:

    • Stay updated on local, state, and federal regulations impacting real estate transactions.

    • Work with the development team to draft and submit regulatory and utility program documentation.

    • Assist in ensuring compliance with all legal and regulatory requirements associated with real estate transactions and solar development.

  • Corporate Governance & Compliance:

    • Assist in maintaining corporate records, preparing board and committee materials, and ensuring compliance with regulatory requirements.

    • Ensure compliance with all legal requirements related to property development and corporate operations.

Required Education and Experience:

  • Bachelor’s degree and paralegal certification required.

  • Proven experience as a real estate and corporate paralegal, preferably in renewable energy or commercial real estate development.

  • Familiarity with real estate transaction processes, including due diligence, title clearance, and contract management.

  • Experience with contract lifecycle management (CLM) platforms and legal research tools.

  • Strong organizational, multitasking, and communication skills.

  • Ability to work collaboratively in a fast-paced, dynamic environment.

Preferred Qualifications:

  • Notary Public certification in Minnesota (or ability to obtain).

  • Experience working in the renewable energy industry or large-scale real estate development.

  • Proficiency in document management systems and legal research platforms.

  • Familiarity with land use regulations and environmental permitting processes.
